Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the Unifers.ai website, applications, browser extensions, APIs, software, data products, email and outreach tools, email warmup services, integrations, and related services provided by Quantabyte Technologies Private Limited (“Unifers,” “we,” “us,” or “our”).

By creating an account, clicking to accept these Terms, purchasing a subscription, accessing our Services, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” and “your” will refer to that entity.

If you do not agree to these Terms, you must not access or use the Services.

1. Definitions

For purposes of these Terms:

Account means the account you create to access the Services.

Customer Data means data, information, content, files, contact lists, email content, prompts, configurations, campaign information, connected-account information and other materials that you or your authorised users submit to or through the Services.

Enrichment Data means contact, company, professional, firmographic, business, social, intent, email, phone and other information made available through the Services from Unifers or third-party data sources.

Services means all products, services and functionality made available by Unifers, including, as applicable, data enrichment, contact discovery, LinkedIn-related tools and browser extensions, email verification, email warmup, outreach functionality, APIs, Unifers MCP, AI-powered functionality and related services.

Third-Party Services means services, applications, platforms, data providers, integrations, APIs, hosting providers, payment providers, and other third-party products or services that interoperate with or support the Services.

Users means individuals authorised by you to access or use the Services through your Account.

Credits means credits, usage units, requests, enrichments, contact unlocks, API usage or similar consumption units made available under a subscription or purchased separately.

Warmup Service means functionality designed to assist with email account and domain warmup, sender reputation and email deliverability by generating, sending, receiving, processing or monitoring automated email activity.

2. The Services

Unifers provides software and technology designed to help businesses discover business contacts, enrich business information, manage sales prospecting workflows, connect business systems, improve email deliverability, and automate certain sales and outreach activities.

The specific features available to you depend on your subscription plan, purchased services, usage limits and any applicable order form or commercial agreement.

We may add, remove, modify, discontinue or replace features from time to time. We will not intentionally make material changes that substantially reduce the core functionality of a paid subscription during its active subscription period, except where reasonably necessary for security, legal, technical or third-party-provider reasons.

We may impose reasonable technical, usage, API, account, contact, email, campaign or other limits on the Services.

3. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

You agree to provide accurate, complete and current information when creating and maintaining your Account.

You are responsible for:

  • maintaining the confidentiality of your Account credentials;
  • all activity occurring under your Account;
  • ensuring that Users authorised by you comply with these Terms; and
  • promptly notifying us of any suspected unauthorised access or use.

You must not share individual login credentials between multiple people where the Services are designed for individual User accounts.

We may suspend access to an Account where we reasonably believe that the Account has been compromised, is being misused, or presents a security, legal or operational risk.

4. Subscription, Fees and Payment

Certain Services require payment of subscription fees, usage fees, Credits, or other charges.

Pricing, billing frequency, usage limits and included features are displayed at the time of purchase or otherwise agreed in writing between you and Unifers.

Unless otherwise stated:

  1. subscription fees are billed in advance;
  2. subscriptions automatically renew for the applicable renewal period unless cancelled before renewal;
  3. you authorise us and/or our payment service provider to charge the applicable payment method for recurring charges;
  4. you are responsible for keeping billing information accurate and current; and
  5. applicable taxes, GST, duties or other government charges are additional unless expressly included in the stated price.

We may change pricing for future subscription periods by providing reasonable notice. Price changes will not apply retroactively to an already-paid subscription period unless otherwise agreed or required by applicable law.

If payment fails, we may suspend or restrict access to the Services until payment is received.

We may use third-party payment providers to process payments. Your use of a third-party payment provider may also be subject to that provider’s terms and privacy policy.

5. Free Trials and Promotional Offers

We may offer free trials, promotional subscriptions, discounted periods, promotional Credits or other introductory offers.

Unless otherwise expressly stated:

  • free trials and promotional offers may be subject to usage limits;
  • we may modify or discontinue a free trial or promotional offer;
  • promotional Credits have no cash value;
  • promotional offers may be limited to one per customer or Account;
  • promotional offers may not be combined with other offers; and
  • once a free trial or promotional period ends, the applicable paid subscription may begin if you have authorised such subscription.

Any special commercial arrangement, custom plan or promotional offer may be governed by additional terms communicated at the time of purchase.

6. Cancellation and Refunds

You may cancel a subscription through the cancellation mechanism made available through your Account or by contacting our support team where applicable.

Unless otherwise stated for a particular plan:

  • cancellation takes effect at the end of the current paid subscription period;
  • cancellation does not automatically create a right to a refund for unused time;
  • unused Credits are not refundable or redeemable for cash;
  • fees already paid for a subscription period are generally non-refundable except as expressly stated below or required by applicable law.

For new paid subscribers, Unifers may offer a fourteen (14) day money-back guarantee from the date of the initial paid subscription, subject to any exclusions stated at checkout or in the applicable offer.

The money-back guarantee does not automatically apply to renewals, add-on purchases, separately purchased Credits, custom services, email warmup services, domains, mailbox-related services, or promotional arrangements unless expressly stated otherwise.

Where Unifers approves a refund, it will generally be issued to the original payment method and may take several business days to appear, depending on the payment provider.

Nothing in this section limits any rights that cannot lawfully be waived under applicable law.

7. Credits and Usage Limits

Certain Services may operate using Credits or other usage units.

Credits:

  • are licensed for use within the Services and are not property or currency;
  • may expire at the end of the applicable subscription period unless otherwise stated;
  • cannot be sold, transferred, exchanged, redeemed for cash, or transferred between Accounts unless expressly permitted;
  • cannot be used outside the Services;
  • may be subject to different consumption rates depending on the feature used; and
  • may be subject to fair-use, daily, monthly or other usage limits.

Unless expressly stated otherwise, unused Credits are non-refundable.

We may modify Credit consumption rates, usage limits and available features for future subscription periods or for newly purchased Credits.

8. Acceptable Use

You may use the Services only for lawful business purposes and in accordance with these Terms.

You must not, and must not permit another person to:

  1. use the Services in violation of applicable laws or regulations;
  2. use the Services to send unlawful, deceptive, fraudulent, misleading, abusive, threatening, defamatory, obscene or otherwise prohibited communications;
  3. violate applicable privacy, data-protection, anti-spam, telemarketing, advertising or electronic-communications laws;
  4. upload malware, viruses, malicious code or other harmful material;
  5. attempt to gain unauthorised access to the Services or another customer’s Account;
  6. interfere with or disrupt the Services or associated infrastructure;
  7. probe, scan or test the vulnerability of the Services without our written permission;
  8. reverse engineer, decompile, disassemble or attempt to discover the source code of the Services, except to the extent such restriction is prohibited by applicable law;
  9. circumvent technical limits, usage limits, security controls or account restrictions;
  10. scrape or systematically extract information from the Services except through functionality expressly provided by Unifers;
  11. use the Services to create, train, augment or maintain a competing database, dataset, contact database, data broker service or substantially similar product;
  12. resell, rent, sublicense, lease or commercially redistribute the Services or Enrichment Data unless expressly authorised under a reseller, agency, partner or other applicable agreement;
  13. impersonate another individual or organisation or use misleading sender or company information;
  14. use information obtained through the Services to discriminate unlawfully or for unlawful surveillance or profiling;
  15. use the Services to violate the terms of a third-party platform or connected account;
  16. use email addresses, domains, contact information, mailbox information or other identifying information encountered through the Warmup Service for prospecting, marketing, sales outreach, list building or any purpose unrelated to the Warmup Service;
  17. attempt to identify, contact, target, solicit or market to another participant in a Unifers warmup pool based solely on their participation in the Warmup Service; or
  18. use the Services in a way that could reasonably harm the security, reputation, availability or integrity of Unifers or its customers.

We may investigate suspected violations and may suspend or restrict access where we reasonably believe a violation has occurred or may occur.

9. Data and Lead Information

Unifers may provide Enrichment Data obtained from public sources, licensed data providers, third-party sources, integrations and other lawful sources.

Enrichment Data may include business contact information, job titles, company information, professional information, email addresses, phone numbers, social or professional profile information and other business-related information.

You acknowledge that third-party information may be incomplete, outdated, inaccurate or unavailable at any particular time.

Unifers does not guarantee that:

  • every contact detail is accurate;
  • every email address is deliverable;
  • every phone number is current;
  • every company or professional record is complete;
  • every contact belongs to the stated company;
  • third-party data will remain available; or
  • any particular prospecting, sales, meeting, revenue or business outcome will result from use of the Services.

You are responsible for evaluating the suitability and lawful use of data before relying on it.

10. Your Use of Personal Data

You are solely responsible for determining whether your collection, use, storage, disclosure and processing of personal data through the Services complies with applicable laws.

Where required by law, you are responsible for:

  • providing privacy notices;
  • obtaining consent or relying on another lawful basis;
  • maintaining required records;
  • honouring opt-out and deletion requests;
  • maintaining appropriate suppression or do-not-contact lists;
  • providing required disclosures; and
  • complying with applicable direct marketing, electronic communications, telemarketing and data-protection requirements.

This may include applicable privacy and marketing laws such as the Digital Personal Data Protection Act, 2023 and applicable rules, GDPR, UK GDPR, CAN-SPAM, CCPA/CPRA and other applicable laws and regulations, depending on your activities and the location of the individuals concerned.

Nothing in the Services or these Terms constitutes legal advice regarding whether a particular marketing activity, use of personal data, email campaign, telephone campaign or other processing activity is lawful.

11. Email Outreach and Sending

If you use Unifers to send or automate email or other communications, you are solely responsible for:

  • the identity of the sender;
  • the accuracy of sender information;
  • the content of messages;
  • the recipients selected;
  • the lawful basis for contacting recipients;
  • obtaining any legally required consent;
  • including legally required information and notices;
  • processing unsubscribe and opt-out requests;
  • maintaining suppression lists; and
  • ensuring that your campaigns comply with applicable laws and the rules of connected email providers.

You acknowledge that Unifers is a technology provider and does not determine who you contact or what communications you send.

You remain the sender and controller of campaigns and communications initiated through your Account, whether those communications are created manually, generated with AI assistance, scheduled automatically or sent through an integration.

Unifers does not guarantee that emails will be delivered, delivered to the inbox, avoid spam or promotions folders, or achieve any particular open rate, reply rate, meeting rate, conversion rate or other business result.

12. Email Warmup and Deliverability

Certain Services may provide the Warmup Service, email account warmup, domain warmup, sender-reputation assistance, deliverability monitoring, verification or related functionality.

12.1 How the Warmup Service Works

Where you enable the Warmup Service for a connected mailbox or domain, you expressly authorise Unifers to generate, send, receive, process and monitor automated warmup emails and related email activity through the connected mailbox for the purpose of operating and improving the Warmup Service.

As part of the Warmup Service, Unifers may:

  1. exchange automated warmup emails between participating customer mailboxes;
  2. send and receive automated warmup emails between your mailbox and mailboxes belonging to other Unifers customers participating in the Warmup Service;
  3. send and receive automated warmup emails between your mailbox and mailboxes maintained in a separate Unifers-managed or service-provider-managed warmup pool;
  4. automatically open, reply to, archive, label, move, mark, or otherwise process warmup emails where such actions are reasonably necessary to operate the Warmup Service;
  5. monitor technical and engagement signals associated with warmup activity; and
  6. modify warmup schedules, message frequency, recipients, sending patterns and other technical parameters in order to operate the Warmup Service.

Your participation in the Warmup Service means that your connected mailbox may automatically send emails to and receive emails from other participating mailboxes.

Warmup emails are generated as part of an automated deliverability process and are not necessarily communications initiated by another customer for the purpose of contacting you commercially.

You acknowledge and agree that information associated with participating mailboxes may be processed as reasonably necessary to facilitate the Warmup Service.

12.2 Use of Warmup Participants’ Information

You must not use addresses, domains, names, signatures, sender information, recipient information or other identifying information encountered through warmup activity to:

  • build prospecting or marketing lists;
  • send commercial communications unrelated to the Warmup Service;
  • identify or investigate another warmup participant;
  • contact or solicit another warmup participant;
  • sell or disclose such information to another party; or
  • otherwise misuse information obtained through the Warmup Service.

12.3 Warmup Content and Processing

Warmup messages may contain automatically generated, generic or system-generated content.

Unifers may access and process email headers, metadata, delivery information, message content and related mailbox information to the extent reasonably necessary to operate, secure, troubleshoot and measure the Warmup Service.

You authorise Unifers to perform these activities when you enable the Warmup Service.

12.4 Separate Warmup Pool

Unifers may maintain or use one or more dedicated warmup pools consisting of mailboxes, domains or other email infrastructure designated for warmup purposes.

Such pools may be operated by Unifers or by service providers acting on Unifers’ behalf.

Participation in the Warmup Service may result in traffic between your mailbox and these dedicated warmup-pool accounts.

12.5 No Deliverability Guarantee

The Warmup Service is intended to assist with email account and domain warmup and deliverability. It does not guarantee:

  • inbox placement;
  • delivery to any particular recipient;
  • avoidance of spam, junk or promotions folders;
  • a particular sender reputation or score;
  • a particular domain reputation;
  • uninterrupted sending;
  • continued access to a third-party mailbox provider; or
  • any specific open, reply, meeting, conversion or revenue outcome.

Email delivery and deliverability may be affected by factors outside Unifers’ control, including mailbox providers, recipient behaviour, domain reputation, IP reputation, DNS configuration, authentication settings, recipient-side filtering, third-party infrastructure, content, sending volume, recipient engagement and changes to third-party provider policies.

You remain responsible for maintaining appropriate authentication records, domains, sender information and sending practices.

13. Connected Accounts and Third-Party Platforms

Certain Services require or support connections to third-party services, including email providers, CRM systems, professional networks, social platforms or other applications.

By connecting a third-party account, you represent and warrant that:

  • you are authorised to connect the account;
  • you have the authority to grant the requested permissions;
  • your use of the account complies with the third party’s terms; and
  • the information you provide to Unifers in connection with the account is accurate.

By enabling email-related features, including the Warmup Service, you authorise Unifers to access, send, receive, process, modify and monitor the email account and related information to the extent reasonably necessary to provide those features.

This may include accessing message headers, mailbox metadata, message content, sender and recipient information, delivery information and other information required to operate the requested functionality.

You authorise Unifers to access and process information from connected accounts as reasonably necessary to provide the Services you request.

Third-party platforms are controlled by their respective providers. Unifers does not control and is not responsible for changes, restrictions, suspension, termination, outages, rate limits, policy changes or other actions taken by third-party providers.

In particular, if you use a browser extension or integration that interacts with a third-party platform, you are responsible for complying with the terms and policies of that platform.

Unifers does not guarantee that a connected account will remain compatible with the Services.

14. Artificial Intelligence Features

Certain Unifers features may use artificial intelligence or machine-learning technologies.

AI functionality may generate text, recommendations, summaries, classifications, prospecting information, campaign suggestions or other outputs based on information you provide or information processed through the Services.

AI-generated outputs may be inaccurate, incomplete, outdated, inappropriate or unsuitable for your intended use.

You are responsible for reviewing AI-generated outputs before relying on, publishing, sending or otherwise using them.

You must not rely solely on AI-generated output for legal, financial, medical, employment, safety, regulatory or other high-impact decisions.

Where AI-generated content is used for communication or outreach, you remain fully responsible for the final content, recipient selection and lawfulness of the communication.

Where third-party AI providers are used, processing may also be subject to applicable third-party terms and privacy requirements.

15. Customer Data

You retain ownership of Customer Data that you lawfully provide to Unifers.

You grant Unifers a limited, worldwide, non-exclusive licence to host, reproduce, transmit, process, modify and otherwise use Customer Data only as reasonably necessary to:

  • provide the Services;
  • operate the Warmup Service and related email functionality where enabled by you;
  • maintain and secure the Services;
  • troubleshoot and support your Account;
  • prevent fraud, abuse and security incidents;
  • comply with applicable law; and
  • perform other activities expressly authorised by you.

For email accounts connected to the Services, this may include processing email messages, headers, metadata, mailbox information and related communications for the purposes described in these Terms.

You represent and warrant that you have all rights, permissions and lawful bases necessary for Unifers to process Customer Data for the purposes described in these Terms.

You must not submit to the Services sensitive personal information, payment-card information, government identification numbers, health information or other highly sensitive information unless the relevant Service expressly supports such information and you have a lawful basis and authorisation to provide it.

Unifers may create and use aggregated, de-identified or anonymised information derived from use of the Services for legitimate business purposes, including analytics, security, product development, benchmarking and service improvement, provided that such information does not identify you or disclose your confidential information.

16. Customer Responsibility for Data and Content

You are solely responsible for the legality, accuracy, quality and integrity of Customer Data and any content submitted through your Account.

You must not submit or use Customer Data that:

  • infringes third-party intellectual property rights;
  • violates privacy or other legal rights;
  • is unlawful, fraudulent, abusive or malicious;
  • contains malware or harmful code;
  • contains sensitive information in violation of these Terms; or
  • violates applicable sending, marketing or data-protection requirements.

Unifers may remove, restrict, block or disable access to Customer Data where we reasonably believe it presents a legal, security, privacy or operational risk.

17. Intellectual Property

The Services, including the software, platform, APIs, interface, design, documentation, databases, technology, workflows, algorithms, trademarks, logos and other materials provided by Unifers are owned by or licensed to Unifers and are protected by applicable intellectual-property laws.

Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you.

Subject to these Terms and your payment of applicable fees, Unifers grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Services during the applicable subscription period for your internal business purposes.

You must not copy, reproduce, modify, distribute, create derivative works from, sell, license, lease or otherwise exploit the Services except as expressly permitted by these Terms or applicable law.

You retain ownership of your Customer Data. Unifers retains ownership of the Services and all improvements, modifications, derivatives and intellectual property relating to the Services.

18. Feedback

If you provide suggestions, ideas, recommendations, feature requests or other feedback relating to the Services, you grant Unifers a worldwide, royalty-free, irrevocable, transferable and sublicensable right to use such feedback for any lawful business purpose without compensation or attribution.

You will not provide feedback that is subject to confidentiality obligations that would prevent Unifers from using it as permitted above.

19. Confidentiality

Each party may receive confidential or proprietary information from the other party.

The receiving party agrees to:

  • use confidential information only for purposes of performing or exercising rights under these Terms;
  • not disclose confidential information except to employees, contractors, advisers or service providers who need to know it and are bound by confidentiality obligations; and
  • use reasonable measures to protect confidential information.

Confidential information does not include information that:

  • is or becomes publicly available without breach of these Terms;
  • was lawfully known to the receiving party before disclosure;
  • is received lawfully from a third party without confidentiality obligations; or
  • is independently developed without use of the disclosing party’s confidential information.

A party may disclose confidential information where required by law, regulation, court order or governmental authority, provided that, where legally permitted, it gives the other party reasonable advance notice.

20. Privacy and Data Processing

Our collection and use of personal information is described in the Unifers Privacy Notice, which forms part of the relationship between you and Unifers.

Where Unifers processes personal data on your behalf as your service provider or processor, the parties may enter into a separate Data Processing Addendum where required.

In the event of a conflict between an applicable Data Processing Addendum and these Terms regarding processing of personal data, the applicable data-protection terms will control to the extent required by law.

You acknowledge that providing email warmup functionality may require Unifers to process email addresses, mailbox information, email metadata and email communications between participating warmup accounts.

21. Third-Party Services

The Services may depend on or interoperate with third-party services, infrastructure and data providers.

Unifers may use third-party vendors for hosting, analytics, payments, communication delivery, data enrichment, artificial intelligence, authentication, security and other functions necessary to operate the Services.

Unifers may also use third-party email infrastructure, mailbox services or other providers in connection with the Warmup Service.

Unifers is not responsible for the actions, omissions, availability, accuracy, policies or performance of third-party services.

You may be required to accept separate terms with certain third-party providers.

A third-party service becoming unavailable may affect the availability or functionality of corresponding Unifers features.

22. Suspension and Termination

We may suspend or restrict access to all or part of the Services if:

  • payment is overdue;
  • you violate these Terms;
  • we reasonably suspect fraud, abuse or unlawful activity;
  • your use presents a security or operational risk;
  • your use could expose Unifers or another person to legal liability;
  • a third-party provider requires us to restrict access;
  • your Account has been compromised; or
  • suspension is reasonably necessary to protect the Services or other customers.

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue. However, we may suspend access immediately where we reasonably believe immediate action is required.

You may terminate your Account in accordance with the cancellation terms applicable to your subscription.

We may terminate an Account or these Terms for a material breach that remains uncured after reasonable notice, or immediately where the breach is incapable of cure or involves fraud, unlawful activity, security abuse, data misuse, circumvention of restrictions or other serious misconduct.

23. Effect of Termination

Upon termination:

  • your right to use the Services will cease;
  • unpaid amounts will become immediately due where applicable;
  • promotional or unused Credits may expire;
  • connected-account access may be revoked;
  • warmup activity associated with your Account may be stopped;
  • we may delete Customer Data in accordance with our retention practices and applicable law; and
  • you remain responsible for obligations that arose before termination.

Where technically and legally feasible, Unifers may provide a reasonable period for you to export Customer Data after termination. We are not required to retain or recover Customer Data after the applicable retention period.

Sections relating to payment obligations, intellectual property, confidentiality, data usage, indemnification, disclaimers, limitations of liability, dispute resolution and other provisions that by their nature should survive termination will survive.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Unifers disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or satisfactory quality, except to the extent such warranties cannot lawfully be excluded.

Without limiting the foregoing, Unifers does not warrant that:

  • The Services will be uninterrupted or error-free;
  • The Services will meet all of your requirements;
  • Data or enrichment information will always be complete, accurate or current;
  • Emails will be delivered to recipients or inboxes;
  • Email warmup will result in particular deliverability outcomes;
  • Any particular campaign or outreach activity will produce leads, replies, meetings, sales or revenue;
  • Third-Party Services will remain available or compatible; or
  • AI-generated output will be accurate, complete, lawful or suitable for your intended purpose.

You are responsible for determining whether the Services and data available through the Services are suitable for your intended use.

25. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Unifers, its affiliates, directors, officers, employees, contractors and service providers from and against claims, damages, liabilities, penalties, costs and reasonable legal fees arising out of or relating to:

  1. Your violation of these Terms;
  2. Your use of the Services in violation of applicable law;
  3. Customer Data or other content submitted through your Account;
  4. Your use of Enrichment Data or other data obtained through the Services;
  5. Your email, messaging, calling or outreach activities;
  6. Your violation of privacy, data-protection, marketing or anti-spam laws;
  7. Your violation of the terms of a connected third-party service;
  8. Your infringement or misappropriation of third-party rights; or
  9. Claims arising from actions taken by you or your Users using the Services.

You must promptly notify Unifers of any claim covered by this section and reasonably cooperate in its defence.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Unifers and its affiliates, directors, officers, employees, contractors, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data or anticipated savings, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Unifers arising out of or relating to these Terms or the Services will not exceed the total fees actually paid by you to Unifers for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

The foregoing limitations will apply regardless of whether a claim arises in contract, tort, negligence, statute or any other legal theory.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

27. Force Majeure

Unifers will not be liable for delay, interruption or failure to perform caused by events outside its reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, labour disputes, government action, epidemics, pandemics, internet failures, telecommunications failures, cloud-service outages, third-party provider failures, cybersecurity incidents or other events beyond reasonable control.

We will use reasonable efforts to restore affected Services when reasonably practicable.

28. Changes to the Services and Terms

We may modify these Terms from time to time.

When we make a material change, we may provide notice through the Services, by email or by another reasonable method.

The updated Terms will become effective on the date stated in the updated Terms. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, unless applicable law requires another form of consent.

If you do not agree to a material change, your remedy is to stop using the Services and cancel your subscription in accordance with the applicable cancellation terms.

29. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Services will be governed by the laws of India, without regard to conflict-of-law principles.

Before initiating formal legal proceedings, the parties will use reasonable efforts to resolve any dispute through good-faith discussions.

If a dispute cannot be resolved informally, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration will be conducted by a sole arbitrator appointed in accordance with applicable law. The seat and venue of arbitration will be New Delhi, India, and the proceedings will be conducted in English.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction, including for protection of intellectual property, confidential information, security interests or unauthorised access to the Services.

Subject to the arbitration provisions above, the courts having jurisdiction in New Delhi, India will have jurisdiction over matters not subject to arbitration.

You are responsible for ensuring that your Account contact information remains accurate.

31. General Provisions

These Terms, together with any applicable order form, subscription terms, privacy notice, data-processing terms and other policies expressly incorporated by reference, constitute the entire agreement between you and Unifers regarding the Services.

If there is a conflict between these Terms and a separately executed written agreement signed by Unifers, the signed agreement will control to the extent of the conflict.

You may not assign or transfer these Terms or your rights under them without Unifers’ prior written consent, except where permitted by law.

Unifers may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganisation, financing, sale of assets or similar transaction.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision.

The headings used in these Terms are for convenience only and do not affect interpretation.

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between you and Unifers.
